1. Acceptance of Terms

SlugPark is operated by Oversight Division Engineering LLC ("we," "us," or "our"). By downloading, installing, accessing, or using the SlugPark mobile application, website located at www.slugpark.app (the "Website"), and related services (collectively, the "Services"), you ("you" or "User") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where practicable, by sending you an email notification or providing notice through the App or Website. Continued use of the Services following any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

The Services are intended for individuals who are at least eighteen (18) years of age. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Services.

3. Description of Services

SlugPark is a parking recommendation and crowdsourced availability tracking application designed for the University of California, Santa Cruz ("UCSC") campus community. The Services include, but are not limited to:

  • Parking Recommendations. Algorithm-driven suggestions for parking zones based on permit type, destination, arrival time, duration, and real-time availability data.
  • Crowdsourced Availability. User-submitted reports on parking lot conditions, aggregated to provide estimated availability levels for each parking zone.
  • Parking Session Tracking. Tools to log, time, and manage active parking sessions, including local push notification reminders.
  • Saved Destinations and Schedules. The ability to save frequently visited locations and configure recurring parking schedules.
  • Map Visualization. An interactive map displaying parking zones, lot boundaries, and related information.
  • Waitlist and Early Access. A waitlist system through the Website for managing early access to the mobile application.

4. Disclaimer of Accuracy and Liability

4.1 Recommendations Are Informational Only

THE SERVICES PROVIDE PARKING RECOMMENDATIONS AND AVAILABILITY ESTIMATES FOR INFORMATIONAL PURPOSES ONLY. SLUGPARK DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY RECOMMENDATION, AVAILABILITY ESTIMATE, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICES.

You acknowledge and agree that:

  • Parking availability is inherently dynamic and may change at any time without notice.
  • Crowdsourced availability data is based on voluntary user reports and may not reflect actual conditions.
  • Recommendations are generated algorithmically and do not account for all variables affecting parking availability.
  • You are solely responsible for verifying parking regulations, permit requirements, signage, and lot conditions before parking your vehicle.
  • SlugPark shall not be held liable for any parking citations, fines, towing, vehicle damage, or other consequences arising from your reliance on information provided through the Services.

4.2 No Guarantee of Service Availability

We do not warrant that the Services will be available at all times, uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice.

5. User Accounts

5.1 Account Creation

To access certain features of the Services, you must create an account by providing a valid email address and password. You represent and warrant that all information you provide during registration is accurate and complete.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@slugpark.app of any unauthorized use of your account. We shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

5.3 Demo Mode

Certain features of the Services may be accessible without account creation through a demo mode. Use of the Services in demo mode is subject to these Terms.

5.4 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that we reasonably determine is harmful to other users, our service providers, or us. We will make reasonable efforts to provide you with notice prior to termination, except where we determine that immediate termination is necessary to protect the safety or integrity of the Services, other users, or third parties. Upon termination, your right to use the Services will immediately cease. You may also delete your account at any time by contacting us at support@slugpark.app.

6. Electronic Communications Consent

By creating an account or signing up for the waitlist, you consent to receive electronic communications from us, including but not limited to: account verification emails, waitlist status notifications, early access invitations, service announcements, and other transactional communications related to the Services. You may opt out of non-transactional communications at any time by contacting us at support@slugpark.app, but you may not opt out of transactional communications necessary for the operation of the Services while your account remains active.

7. User Conduct

You agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
  • Submit false, misleading, or fraudulent availability reports or other information through the Services.
  • Attempt to manipulate or interfere with the availability scoring algorithm or crowdsourced data aggregation.
  • Interfere with or disrupt the integrity or performance of the Services, servers, or networks connected thereto.
  • Attempt to gain unauthorized access to any portion of the Services, other user accounts, or any systems or networks connected to the Services.
  • Use automated scripts, bots, scrapers, or similar tools to access or interact with the Services without our express written consent.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except as expressly permitted by applicable law.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services.
  • Circumvent, disable, or otherwise interfere with any security-related features of the Services.

8. Crowdsourced Data

8.1 User Reports

By submitting parking availability reports through the Services, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, aggregate, and display such reports for the purpose of operating and improving the Services. Reports may be aggregated with reports from other users and displayed publicly in de-identified form.

8.2 Accuracy of Reports

You agree to submit availability reports in good faith and to the best of your knowledge based on your direct observation of parking conditions. You acknowledge that intentionally submitting false or misleading reports may result in suspension or termination of your account.

8.3 No Compensation

You acknowledge that you will not receive any compensation for submitting availability reports or other content to the Services.

9. Intellectual Property

9.1 Ownership

All right, title, and interest in and to the Services, including but not limited to the software, algorithms, user interface designs, graphics, trademarks, and documentation, are and shall remain the exclusive property of Oversight Division Engineering LLC and its licensors. These Terms do not convey to you any ownership interest in or to the Services.

9.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible mobile device solely for your personal, non-commercial use.

9.3 Third-Party Content

The Services may incorporate third-party content, including map data (Mapbox), parking zone information, and campus location data. Such content is provided subject to the applicable third-party terms and licenses. UCSC campus data, lot names, and building references are used for informational purposes only.

9.4 Trademarks

SlugPark, the SlugPark logo, and other SlugPark marks are trademarks of Oversight Division Engineering LLC. You may not use any SlugPark trademarks without our prior written consent.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, available at www.slugpark.app/privacy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and use practices.

11. Third-Party Services

The Services may reference or display information about third-party services, including but not limited to ParkMobile. SlugPark does not process payments, handle financial transactions, or act as an agent for any third-party payment service. Any use of third-party services is subject to the applicable third party's own terms and conditions, and we disclaim all liability arising from your use of or reliance on any third-party service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OVERSIGHT DIVISION ENGINEERING LLC, ITS MEMBERS, MANAGERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Parking citations, fines, penalties, or towing fees;
  • Vehicle damage, theft, or loss;
  • Loss of data or profits;
  • Personal injury or property damage;
  • Any damages arising from reliance on parking recommendations or availability estimates;

whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations and exclusions may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • The Services will meet your requirements or expectations;
  • The Services will be accurate, reliable, complete, or timely;
  • Parking recommendations or availability data will reflect actual conditions;
  • The Services will be uninterrupted, secure, or error-free; or
  • Any defects in the Services will be corrected.

YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICES. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

14. Indemnification

You agree to indemnify, defend, and hold harmless Oversight Division Engineering LLC, its members, managers, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any availability report or other content you submit through the Services. This indemnification obligation shall survive the termination of these Terms and your use of the Services.

15. University Affiliation Disclaimer

SlugPark is an independent application developed by Oversight Division Engineering LLC. SlugPark is not officially affiliated with, endorsed by, authorized by, or sponsored by the University of California, Santa Cruz, the University of California system, or UCSC Transportation and Parking Services. References to UCSC campus locations, parking lots, permit types, and related information are provided for informational convenience only and may not reflect current university policies, regulations, or conditions. You should always consult official UCSC Transportation and Parking Services resources for authoritative parking information.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at support@slugpark.app and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most disputes can be resolved informally.

16.3 Binding Arbitration

If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by a mutually agreed-upon arbitrator, in Santa Cruz County, California. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. The costs of arbitration shall be borne as determined by the arbitrator, subject to the limitations below.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Small Claims Court Exception. Either party may bring an individual action in small claims court in Santa Cruz County, California (or the county in which you reside) if the claim qualifies for small claims court jurisdiction.

Cost Protection. If you are unable to afford the arbitration filing fee, we will pay it for you. If the arbitrator determines that your claim is not frivolous, we will reimburse your filing fee.

16.4 Waiver of Class Action

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND OVERSIGHT DIVISION ENGINEERING LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and we each waive any right to a jury trial.

16.5 Limitation on Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Oversight Division Engineering LLC with respect to the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17.3 Waiver

The failure of Oversight Division Engineering LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, internet or telecommunications failures, or power outages.

17.6 Notices

All notices to you under these Terms may be delivered via email to the address associated with your account, by posting a notice on the Website or within the App, or by any other means we reasonably determine. Notices to us should be sent to support@slugpark.app.

17.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
